FAQs

Real estate syndication sponsors often have questions about how to raise capital legally, structure real estate deals, and work with co-GPs. These FAQs address many of the most common legal and compliance issues faced by both new and experienced syndicators—including how to use Regulation D exemptions, what a Private Placement Memorandum (PPM) includes, and when to consider forming a multi-property real estate investment fund.

While these FAQs speak in terms of real estate, they can be applied, in most cases, to other asset classes, such as private equity and venture capital. Please also note that we use limited partnership terminology (such as GPs and LPs) although these FAQs also apply to limited liability companies.
